Welcome to Candid Systems. These Terms of Service ("Terms") govern your access to and use of our website, client portal, software, and IT architecture services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.
1. Scope of Services
Candid Systems provides enterprise IT architecture, network auditing, infrastructure deployment, and related software services. Access to specific tools, such as the Candid Systems Client Portal (portal.candid.systems), is restricted to active clients with executed service agreements.
2. User Responsibilities & Account Security
When you create an account or access our secure client workspace, you agree to provide accurate and complete information. You are solely responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately of any unauthorized access to your account. You may not use our Services for any illegal or unauthorized purpose, including but not limited to probing, scanning, or testing the vulnerability of our infrastructure without explicit authorization.
3. Communications and SMS Policy
Program Name: Candid Systems (the "Program"). By providing a mobile number to Candid Systems, you consent to receive recurring transactional text messages (SMS) from the Program related to your account, project updates, billing alerts, IT support tickets, one-time passcodes, and system-status and outage notifications.
Opt-In: Providing a mobile number is optional. It is not a condition of purchasing, using, or completing any Candid Systems service. You may choose to provide a mobile number at onboarding, at any later time, or through any opt-in or preference method we may offer, and you may decline or withdraw at any time with no effect on your service. The same notifications remain available by email and through the client portal. If you enter a mobile number to request a one-time passcode, that request is your consent to receive that passcode. If you provide numbers belonging to your personnel or end users, you confirm those individuals have agreed to receive these messages.
Message Frequency: Message frequency recurs and varies based on your account activity, active support tickets, and project status.
Message & Data Rates: Message and data rates may apply for any messages sent to you from us or to us from you. Carriers are not liable for delayed or undelivered messages.
Opt-Out: You can cancel the SMS service at any time. Simply text STOP to the number you received the message from. After you send STOP, we will send a confirmation message, and you will no longer receive SMS messages from us.
Help: If you experience any issues with the messaging Program, reply with the keyword HELP, email us at [email protected], or contact our support desk through the client portal.
Privacy: We respect your privacy. Mobile information and SMS opt-in consent will not be not be shared with, sold to, or rented to third parties, affiliates, or partners for marketing or promotional purposes. For more information, please review our Privacy Policy.
4. Intellectual Property
All original content, infrastructure designs, custom software, and proprietary methodologies provided by Candid Systems remain the intellectual property of Candid Systems, LLC. You are granted a limited, non-exclusive, non-transferable license to use the deliverables strictly for your internal business operations as defined in your specific service agreement.
5. Limitation of Liability
To the maximum extent permitted by law, Candid Systems, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising from your use of the Services, hardware failures, or network downtime outside of any service level commitments expressly set forth in your service agreement. Our total liability for any claim arising out of or relating to these Terms shall not exceed the amount paid by you to Candid Systems for the specific service in question during the preceding twelve (12) months.
6. Modifications to the Terms
We reserve the right to modify or replace these Terms at any time. We will provide notice of any material changes by posting the updated Terms on our website or within the client portal. Your continued use of the Services after such changes constitutes acceptance of the new Terms.
7. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Harris County, Texas.
